1. Acceptance of Terms

By accessing or using BindPilot AI ("Service"), operated by Boldera Labs LLC, a Utah limited liability company ("Company," "we," "us"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and the Company.

2. Description of Service

BindPilot AI is a software-as-a-service platform that provides AI-powered comparative insurance quoting, renewal management, and policy servicing tools for independent insurance agencies. The Service automates quote submission to insurance carriers, compiles and compares results, and provides workflow tools for agency operations. The Service is provided "as is" and "as available."

3. Eligibility

You must be at least 18 years of age and authorized to bind the agency or business entity on whose behalf you are using the Service. By using the Service, you represent that you have the legal authority to enter into these Terms on behalf of your agency.

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

5. Subscription & Payment

Access to the Service requires a paid subscription. Fees are billed monthly in advance at the rate associated with your selected plan. All fees are non-refundable unless otherwise required by law. We reserve the right to change pricing with 30 days' written notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle.

6. Data Ownership & License

Your Data. You retain ownership of all data you upload to or generate through the Service ("User Data"), including client information, policy data, and agency records.

License to Us. By using the Service, you grant Boldera Labs LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to access, use, copy, process, aggregate, anonymize, and create derivative works from User Data for the following purposes: (a) operating, maintaining, and improving the Service; (b) developing new products, features, and services; (c) generating aggregated, anonymized, and de-identified analytics, benchmarks, market insights, and statistical reports; (d) training and improving machine learning models and AI systems; and (e) any other lawful business purpose. This license survives termination of your account.

Anonymization & Aggregation. We reserve the right to aggregate and anonymize User Data such that it no longer identifies you, your agency, or any individual client. Once anonymized, such data is no longer considered User Data and may be used by us without restriction, including for commercial purposes such as industry reports, analytics products, and third-party data services.

No Sale of Identified Data. We will not sell personally identifiable User Data to third parties. We may share anonymized and aggregated data as described above.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload false, misleading, or fraudulent data; (c) attempt to reverse-engineer, decompile, or disassemble any portion of the Service; (d) interfere with or disrupt the Service or servers; (e) resell, sublicense, or redistribute access to the Service without our prior written consent; or (f) use the Service in violation of any applicable insurance regulations.

8. Insurance Disclaimer

BindPilot AI is a technology tool and does not provide insurance advice, underwriting decisions, or binding authority. All insurance quoting, binding, and policy decisions remain the sole responsibility of the licensed insurance professional using the Service. We do not guarantee the accuracy, completeness, or timeliness of quotes obtained through the Service. You are responsible for verifying all quotes and coverage details with the applicable carrier before binding any policy.

9. Intellectual Property

The Service, including all software, algorithms, models, interfaces, logos, and documentation, is the exclusive property of Boldera Labs LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLDERA LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Boldera Labs LLC, its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you upload to the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. Upon termination, your right to use the Service ceases immediately. You may request export of your User Data within 30 days of termination. Sections 6, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Utah without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Salt Lake County, Utah, administered under the rules of the American Arbitration Association. Each party bears its own costs, except the prevailing party may recover reasonable attorneys' fees.

14. Miscellaneous

These Terms constitute the entire agreement between you and Boldera Labs LLC regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not waive that right. We may assign these Terms; you may not. We may update these Terms at any time by posting the revised version on this page. Continued use after changes constitutes acceptance.
